7. User Obligations, Restrictions & Prohibitions
As a User of our domain and services, you explicitly agree that you shall at all times:

- Immediate Suspension: EM99 reserves the absolute right to freeze project development, revoke platform access, or terminate an active Contract with zero prior notice if:

- Usage License: By transmitting Business Materials, databases, or copy parameters into our staging environment, you grant EM99 a perpetual, global, royalty-free license to parse, edit, translate, and execute those materials solely to fulfill our software production and search optimization duties for your business.
11. Comprehensive Warranties and Limitations of Liability
- System Provision (“AS IS”): Our custom software solutions, AEO strategies, and digital systems are provided to your enterprise on an “AS IS” and “AS AVAILABLE” basis. While we build everything to pristine, modern standards, we do not guarantee that third-party digital networks, merchant portals, or search platforms will remain completely fault-free or continuous for life.
- Third-Party Disruptions: EM99 accepts zero financial or operational liability for execution delays, data packet loss, ranking drops, or configuration drops caused entirely by external third-party service providers. This includes internet host providers, international payment platforms (such as Tabby/Tamara infrastructures), global directory databases, search engine core updates, or external server downtime.
- Financial Liability Cap: To the maximum extent permitted by applicable regional laws, EM99 Technologies shall not be held liable for loss of corporate profits, system data leaks, anticipated savings deviations, emotional or reputational damage, or any indirect or consequential commercial losses. Our total cumulative liability to your business for any actionable claim arising out of this contract shall be strictly capped at the exact financial amount cleared by you to EM99 for the specific service phase during the preceding twelve (12) months.
12. Governing Law & Dispute Resolution
These Terms, along with any contractual or non-contractual claims arising out of our global service delivery, shall be governed by and interpreted strictly under the laws of the United Kingdom.
